The Tata Sons board approved a fresh five-year term for executive chairman N Chandrasekaran and decided to pursue a public listing.
Noel Tata, chairman of Tata Trusts and the largest shareholder, cast the sole opposing vote and called the reappointment decision illegal.
Tata Trusts collectively hold approximately 66 percent of Tata Sons, while the Shapoorji Pallonji Group backs the proposed public listing.
